**Key Responsibilities**
- Should be aware of all Secretarial Compliance, Accounting and Payroll compliances.
- Designing and implementing internal policies to meet external regulations
- Running internal audits which check for adherence with external policies
- Educating both senior management and lower-level staff on compliance issues
- Set up adequate internal control system to minimize risks. Identify gaps and adequate measures to rectify the same. Implement an adequate system to ensure regular and timely compliance of the provisions of law.
- Assists the Reporting Manager in providing company secretarial services to a range of non-listed client companies;
- Handles full set of company secretarial documents and activities for Multinational body corporates;
- Extensive knowledge and understanding of risk involved under various laws and regulations on KMP’s and Directors of the Company.
- Should be able to Communicates with clients independently;
- Maintains statutory records for clients companies and prepares resolutions and correspondence to clients for review by manager, if necessary;
- Updates and maintain records/information as and when required
- Experience in multiple client handling is preferable and good presentation skills
**Key Requirement**
- Secretarial Compliance and Directorship compliance officer
- Drafting Legal documents, Notice of the meetings, Agendas, Minutes and all other corporate documents in accordance with the Companies Act and Rules & regulations thereof
- Working on FEMA, foreign Companies (LO BO PO) and labour laws related compliances
- Ensuring abidance with event-based ALL Compliance, Accounting and Payroll compliances
- Conducting Board Meetings/CSR Committee Meetings/Annual General Meetings/Extra Ordinary General Meetings along with documentation for resolutions
- Maintaining & updating statutory books, including registers of members, directors, etc., as required under Companies Act.
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
- Liaising with external regulators & advisers, such as auditors, bankers, shareholders, etc.
- Keeping Directors and members of the senior leadership team on corporate governance matters
- Experience - 1 to 2 yrs.
