- Company Secretary**
Job Summary: As a Company Secretary you will play a pivotal role in ensuring compliance with legal and regulatory requirements, supporting corporate governance, and facilitating effective communication within the organization. You will collaborate closely with the management team, legal department, and various stakeholders to ensure the smooth operation of the company's corporate functions
**Key Responsibilities**:
- Prepare file and maintain statutory documents, such as annual returns, financial statements, and other legal documents as required by regulatory authorities.
- Stay updated on changes in laws and regulations that may impact the business and advise the management accordingly.
- Collaborate with the legal department and external legal counsel to provide legal advice on matters related to real estate transactions, contracts, leases, and other agreements.
- Review and analyze legal documents to identify potential legal risks and propose mitigation strategies.
- Assist in organizing and preparing board meetings, general meetings, and committee meetings and ensure adherence to corporate governance principles and practices within the organization.
- Communicate effectively with internal and external stakeholders, responding to queries and providing necessary information.
- Maintain accurate and up-to-date records of company documents, contracts, agreements, and correspondences, ensure proper storage and retrieval of documents for future reference.
- Handle company secretarial matters, including share issuances, transfers, and dividend distributions. Process changes in directorships and officers of the company as needed.
**Requirements**:
- Strong understanding of legal and regulatory requirements specific to the real estate sector.
- Excellent knowledge of corporate governance principles and practices.
- Proficiency in document management and record-keeping.
- Strong communication, interpersonal, and organizational skills.
- Ability to work independently, make decisions, and prioritize tasks effectively.
- Attention to detail and high level of accuracy in work.
**Qualifications**:
- Bachelor's degree in Law/ Business Administration, or a related field. Additional qualifications such as a Company Secretary (CS) certification are desirable.
- At least 2-3 years of experience as a Company Secretary.
