1 Report to the Top Management and often liaise with board members.
2 Facilitate good communication between the board, committees, senior management and nonexecutive directors, and shareholders
3 Take responsibility for the administration of the company, for example: maintaining statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and present shareholdings, organising board meetings and annual general meetings (AGMs), preparing agendas and taking minutes
4 File necessary documents with ROC, such as annual tax returns and audit reports
5 Monitor changes in relevant legislation and the regulatory environment and take appropriate action
6 Liaise with external regulators and advisers, such as lawyers and auditors
7 Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
8 Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
9 Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
10 Provide legal, financial, and/or strategic advice during and outside of meetings.
11 Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
12 Maintain statutory books, including registers of members, directors, and secretaries.
13 Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
14 Implement processes or systems to ensure good management of the organization.
15 Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
16 Pay dividends to shareholders and manage share option schemes opted by various shareholders.
17 Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and takeovers.
18 Manage contractual agreements with suppliers and customers
