**Roles and Responsibilities**
- Compliance Management: Ensure compliance with all applicable laws, regulations, and statutory requirements, including Companies Act, SEBI regulations, FEMA, and other relevant laws.
- Corporate Governance: Provide guidance and support on corporate governance matters, including managing board meetings, preparing agendas and minutes, maintaining statutory records, and managing shareholder communication.
- Legal and Secretarial Advisory: Provide expert advice and support to the firm and its clients on legal and secretarial matters, including drafting legal documents, conducting legal research, and ensuring legal compliance in all firm activities.
- Company Formation and Restructuring: Assist in company formation, restructuring, and dissolution processes, including preparation of necessary documentation, coordination with relevant authorities, and ensuring compliance with relevant laws and regulations.
- Annual Filings and Reports: Prepare and file annual reports, returns, and other statutory filings with the Registrar of Companies (ROC) and other regulatory authorities within the specified timelines.
- Record Keeping and Documentation: Maintain accurate and up-to-date records of all corporate and legal documents, including minutes of meetings, resolutions, agreements, contracts, and other legal and secretarial records.
- Liaison and Coordination: Liaise and coordinate with internal stakeholders, including partners, clients, and employees, as well as external stakeholders, such as regulatory authorities, auditors, and legal advisors, to ensure the smooth functioning of secretarial and compliance matters.
- Qualified Company Secretary (CS) with a valid membership from the Institute of Company Secretaries of India (ICSI).
- Relevant experience in a practicing firm or corporate environment, with a strong understanding of Indian corporate laws, regulations, and compliance requirements.
- Excellent written and verbal communication skills, with the ability to draft legal documents and communicate complex legal concepts effectively.
- Strong analytical and problem-solving skills, with a keen eye for detail and accuracy.
- Ability to work independently, manage multiple tasks, and meet deadlines in a fast-paced environment. High level of integrity, confidentiality, and professionalism in handling sensitive and confidential information.
- Proficient in using relevant software and tools for secretarial and compliance work.
