Head of Compliance

As a seasoned Head of Compliance, you will oversee all compliance functions and ensure adherence to statutory, regulatory, and internal governance standards. This role requires exceptional leadership, analytical, and communication skills to effectively advise the board and management on corporate governance, risk management, and statutory filings.

This is a key position within the organization, responsible for managing and integrating the compliance functions of newly acquired companies and ensuring a seamless transition.

Key Responsibilities:

  • Corporate Governance & Board Support: Advise the board of directors on matters of corporate governance, ensuring efficient and ethical operations.
  • Regulatory Compliance: Ensure adherence to relevant statutory and regulatory requirements, including the Companies Act and other financial laws applicable to the organization.
  • Acquisition & Integration: Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Risk Management: Proactively identify, assess, and mitigate potential compliance risks across the organization.
  • Statutory Filings: Oversee the preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
  • Responding to Regulators: Ensure prompt resolution to queries / notices / summons issued by regulatory authorities and engage in discussions to resolve their queries.

Required Skills & Qualifications:

  • Professional Qualifications: Mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like MCA, ROC, and RBI.
