Job Description

As a Corporate Governance Specialist, you'll play a vital role in ensuring the compliance and integrity of our organization's operations. This involves driving forward our legal compliance and corporate governance framework to ensure seamless business processes.

This position requires more than just routine filings and formalities; it demands a trusted advisor who can provide strategic guidance on corporate governance and regulatory matters. You will be responsible for overseeing the entire lifecycle of incorporating companies, LLPs, or other business entities, ensuring adherence to regulatory protocols from initiation to approval.

You will prepare and authenticate incorporation documents, manage DIN/Digital Signature applications, and execute timely MCA filings.

Statutory Compliance & Reporting

Ensure timely preparation and filing of annual returns, statutory forms, and other regulatory submissions as per the Companies Act, LLP Act, and related regulations. Maintain up-to-date statutory registers, records, and ensure robust documentation in line with compliance norms.

Monitor changes in legislation and proactively update internal stakeholders on applicable regulatory developments and implications.

Policy & Confidentiality Oversight

Collaborate with leadership and legal teams in formulating key policies aligned with the organization's strategic and compliance goals. Ensure sound information management and confidentiality protocols are implemented and maintained across functions.

Legal Compliance & Risk Management

Provide sound legal and regulatory advice to management, helping prevent non-compliance and mitigate potential legal risks. Partner with internal audit and finance teams to provide accurate data and documentation during audits or inspections.

Stakeholder Management

Act as a critical liaison between internal teams, management, and external regulatory bodies, ensuring seamless communication and process alignment. Ensure all interactions are handled with professionalism and courtesy.

Key Requirements:

  • Qualified and practicing Company Secretary with active membership with ICSI.
  • ~6–8 years of post-qualification experience in corporate secretarial roles.
  • Strong knowledge of corporate laws, secretarial standards, and MCA portal filings.
  • Meticulous attention to documentation and compliance timelines.
  • Experience in RERA filings is an added advantage.
