
Chief Governance Officer

A highly skilled and experienced individual is required to oversee corporate governance, risk management, and statutory filings.
This role involves providing strategic leadership, ensuring compliance with regulations, and maintaining effective relationships with regulatory bodies.
Key Responsibilities:
- Corporate Governance:
- Provide expert advice on matters of corporate governance, ensuring efficient and ethical operations.
- Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable regulations.
- Regulatory Compliance:
- Ensure strict adherence to all relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to a listed company.
- Acquisition & Integration:
- Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
- Risk Management:
- Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
- Statutory Filings:
- Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for the listed entities and all subsidiary entities.
- Responding to Regulators:
- Ensure prompt resolution to queries/ notices/ summons issued by stock exchanges/ SEBI/ other regulatory authorities and engage in discussions with them to resolve their queries.
- Internal Audits:
- Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.
Required Qualifications & Skills
- Professional Qualifications:
- A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
- Experience:
- Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
- Legal & Financial Knowledge:
- In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
- Regulatory Expertise:
- Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
