Job Description">

We are seeking a skilled Tax Advisory Associate to join our team. In this role, you will provide tax advisory services to clients on various matters including structuring of deals, drafting and review of deal documents, and handholding in conceptualizing deals.

Some of the key responsibilities include:

  • Structuring and advising on deals from tax perspective and foreign exchange control perspective.
  • Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, and other allied laws.
  • Handholding in conceptualizing deals with specific focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Advising on possible structuring through the IFSC Gift City.
  • Front-ending/liaising with various stakeholders, including AD Bankers.
  • Undertaking health checks and preparing due diligence reports.

Additionally, you will be responsible for international tax and FEMA advisory assignments, including advisory on PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, tax transparent entities, and more.

  • Experience in direct tax law and M&A transactions.
  • Strong understanding of FEMA regulations and their application in India.
  • Excellent communication and interpersonal skills.

International Tax and FEMA Advisory:

  • Advisory assignments on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, tax transparent entities, etc.
  • Effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • Advisory on FEMA and assistance in compounding applications.
  • Assistance in lower withholding applications, condonation applications, assessments, appeals at all levels. Engaging with Senior Counsels, preparing synopsis and briefing.
