Job Summary

We are seeking a highly skilled Corporate Governance Specialist to join our team at Mangalam Placement Pvt Ltd.

About the Role

This is an exciting opportunity for a seasoned professional to lead our corporate governance initiatives and ensure compliance with relevant regulations.

Responsibilities
  • AGM/EGM & Board Meetings: Conduct AGM/EGM and Board Meetings as required under Companies Act, involving issuance of notices, drafting agenda, drafting minutes, and preparing reports/board reports.
  • Representing the Organisation: Represent the organisation before Central Government and other authorities, managing work related to Registrar of Companies, RBI, SEBI, NSDL/CDSL, Stock Exchanges, Debenture Trustees, and Share Transfer Agents.
  • Organisational Aims: Provide inputs and work towards achieving organisational aims; manage merger, de-merger, divestment, subsidiaries (if any).
  • Financial Restructuring: Manage procedural formalities pertaining to financial re-structuring, change of name, and handle submission of applications for Registration of Trade Mark/Copy Right/Patent Mark.
  • Incorporation & Listing: Handle incorporation of companies, dematerialization of shares, and listing of shares on Stock Exchanges.
  • Board Meeting Management: Conduct Board meetings, various committee meetings, Annual General Meetings, and postal ballots.
  • Annual Reports: Prepare the Annual Report, including Board's Report, Management Discussion and Analysis Report, Corporate Governance Report, Business Responsibility Report, etc.
  • Maintenance of Registers: Maintain statutory registers and records.
  • Filing Compliance: File various forms/documents with Stock Exchanges, SEBI, Registrar of Companies (ROC), Central Government, etc.
  • DIN/DSC Related Issues: Be well-versed with DIN/DSC-related issues and statutory compliances.
  • Regulatory Filing: Oversee timely filing and assessment of requisite filings as per provisions of statutory and regulatory bodies.
  • Document Preparation: Prepare and file necessary documents and returns as required under Companies Act, FERA.
  • Bank Interactions: Interact with banks and financial institutions for creation of charges/securities and satisfaction of charges.
  • Merchant Banking: Engage in merchant banking and foreign exchange dealing.
  • Legal Drafting: Perform legal drafting and vetting of agreements, power of attorney, various applications, etc.
  • Stakeholder Interaction: Interact with internal and external stakeholders to manage legal assignments, etc.
