Key Responsibilities

  • CORPORATE GOVERNANCE & BOARD SUPPORT: Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable regulations.
  • REGULATORY COMPLIANCE: Ensure strict adherence to all relevant statutory and regulatory requirements, including laws and regulations applicable to a listed company
  • ACQUISITION & INTEGRATION: Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition
  • RISK MANAGEMENT: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • STATUTORY FILINGS: Oversee the preparation and timely filing of all regulatory documents and returns with authorities for listed entities and subsidiaries.
  • RESPONDING TO REGULATORS: Ensuring prompt resolution to queries / notices / summons issued by regulatory authorities and engaging in discussions to resolve their queries.
  • INTERNAL AUDITS: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Job Description

HEAD OF COMPLIANCE: We are seeking an experienced and highly skilled Head of Compliance to join our team. The ideal candidate will be a qualified Company Secretary (CS) with a minimum of 10 years of experience in compliance and corporate governance, adheres to all statutory, regulatory, and internal governance standards, particularly as a listed company.

Required Skills & Qualifications

Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.

Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.

Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.

Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like SEBI, RBI, etc.
