Job Summary

This is a key role that requires handling complex corporate legal matters, ensuring compliance and managing disputes across various commercial areas.

Main Responsibilities:
  • Corporate Legal Support:
    • Provide timely legal advice on contractual matters, regulatory compliance, and risk management to stakeholders.
    • Draft, review, and negotiate commercial contracts and other agreements related to sales, purchases, supply, consultancy, agency, distribution, real estate, construction, mining, and banking.
    • Develop or update contract templates for regional and local requirements.
    • Work with the Group Insurance Department and local brokers for insurance claims and queries.
    • Alert stakeholders to legal and regulatory risks and provide solutions to mitigate those risks.
  • Compliance:
    • Act as the main point of contact for compliance programs in the region, ensuring their implementation.
    • Conduct training sessions for business teams exposed to compliance risks.
    • Offer advice on compliance-related issues, supported by the Group Compliance team.
  • Dispute Management:
    • Manage disputes, pre-litigation, and litigation matters, including arbitration, to protect the company's interests.
    • Develop effective strategies to resolve legal issues and address commercial claims.
    • Liaise with and supervise external counsel for outsourced legal matters, ensuring cost-effectiveness and efficiency.
    • Coordinate with business teams to gather facts and evidence and execute litigation strategies.
  • Corporate Governance:
    • Oversee corporate secretarial and compliance-related matters for legal entities in South Asia.
    • Lead corporate governance projects, including acquisitions, restructurings, and establishment of new entities.
    • Collaborate with external consultants for corporate restructuring initiatives.
  • Advisory and Stakeholder Support:
    • Offer strategic advice to internal stakeholders, providing actionable recommendations.
    • Work closely with sales, operations, and support teams to align legal support with business objectives.
  • General Support:
    • Handle special assignments, projects, and other tasks related to the Legal Department as directed.
    • Maintain accurate records and reports to ensure regulatory compliance and support audits.
