Job Title: Senior Legal Executive

Job Description:

The Senior Legal Executive will be a key member of the legal team, working closely with the Group Chief Legal Officer (GCLO) to provide strategic legal advice and support. This role involves significant interaction with senior management, providing guidance on complex legal issues, managing external counsel relationships, and leading internal teams.

Responsibilities include:

  • Providing expert legal advice on a broad range of issues to inform strategic decision-making.
  • Assisting with litigation strategy and managing outside counsel relationships.
  • Overseeing the legal aspects of business operations.
  • Providing legal support in business acquisition and project life cycle management.
  • Leading funding transactions from a legal perspective and managing external legal counsel.

Key Areas of Focus:

  • Corporate Deals: Leading equity deals and ensuring successful closure with minimal outstanding issues.
  • Contracts: Managing the contracts function from a legal perspective, involving drafting, negotiation, and finalization of contracts with third-party vendors and suppliers.
  • Mergers and Acquisitions/ Corporate Finance: Defending indemnity claims related to corporate funding and sale of assets transactions, drafting responses to indemnity notices, and supporting the Corporate Finance team in SPV governance.
  • Litigations: Supporting decision-making on strategic litigations and leading litigations as per GCLO's advice.
  • Business Acquisition: Supporting the Business Acquisition team in competitive bids, reviewing bid documents, issuing detailed risk analyses, addressing queries, vetting bid proposals, and conducting due diligence prior to acquisition.
  • Policy Advocacy: Providing general legal advisory services on strategy and interpretation of draft/new regulations, reviewing proposed standard bidding documents or amendments, and helping the policy advocacy team communicate with authorities.

Required Skills and Qualifications:

  • Law graduate from a reputable law school with at least 15 years of work experience in multinational companies, preferably in power/infrastructure/energy sectors.
  • A mix of in-house and law firm experience would be advantageous.
  • Sound commercial understanding of power/energy business and government tenders/projects.
  • Strong communication skills (written and verbal).
