As a key member of our team, you will be responsible for structuring and advising on deals from a tax perspective. This includes analyzing foreign exchange control, domestic tax law, Double Taxation Agreements (DTAAs), stamp duty, and other related laws.

  • Drafting and reviewing deal documents such as term sheets, loan agreements, Share Purchase Agreements (SPAs), disclosures, Business Transfer Agreement (BTA), merger scheme, representations and warranties, etc.",">
  • Handholding in conceptualizing deals with a focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.",">
  • Providing advisory services on possible structuring through the International Financial Services Centre (IFSC) Gift City.",">
  • Front-ending/liaising with various stakeholders including Asset Development Banker (AD Banker).",">
  • Undertaking health checks and preparing due diligence reports.

International Tax and FEMA Advisory

  • Advisory assignments on international tax issues including Permanent Establishment (PE), profit attribution, business connection, expat tax, Employee Stock Option Plans (ESOPs), indirect transfer, Partnership Equity Mobilization (POEM), capital repatriation, royalties, Foreign Tax Credits (FTC), broadcasting rights, and tax-transparent entities.",">
  • Effective Tax Rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.",">
