Job Title: Senior Officer

At ScaleneWorks, we are seeking a highly skilled Senior Officer to join our team. The ideal candidate will have expertise in corporate secretarial functions, with a strong understanding of listing regulations, company law, and SEBI regulations.

Key Responsibilities:

• Perform overall secretarial functions and compliances with provisions of listing regulations, company law, and SEBI regulations.

• Handle all secretarial compliances of listed entities, subsidiaries, and promoter entities, and all related activities thereto.

• Prepare agendas and minutes of meetings of the board of directors, committees, general meetings, postal ballot notices of companies, and LLPs.

• Draft resolutions, including circular resolutions of companies, LLPs, and trusts.

• Assist with preparation of annual reports of companies.

• Prepare and maintain secretarial records of companies and LLPs, including statutory registers and directors' databases.

• File necessary forms and reports with the ROC, MCA, stock exchanges, SEBI, and RTA, etc., in e-mode and XBRL modes.

• Statutory compliances in connection with debt securities and assist with listing of commercial papers, debentures, ESOPs, and corporate actions.

• Annual filing of companies and LLPs.

• Filings in connection with insider trading provisions and SEBI SAST regulations.

• Correspond, collate required information, prepare secretarial reports, and assist with secretarial and statutory audits of companies and LLPs.

• Compliances of trusts.

• Update the secretarial team with updates/amendments to changing SEBI laws and Companies Act requirements.

• Update policies/terms of reference of committees as may be required from time to time.

• Handle dividend payment and IEPF process.

• Be the administrator for the secretarial compliance system.

• Handle invoicing and payment activities for secretarial functions.

Requirements:

• A company secretary holding CS membership from ICSI.

• Good drafting, communication skills, and presentation skills.

• Ability to work in a challenging and unstructured/dynamic environment and multitasking skills.

• Sincere and hard-working.

• Skillful in planning tasks and able to prioritize work and ability to work strategically.

• Good collaboration with various support functions.

• Good working knowledge of Microsoft Word, Excel, and PowerPoint.

• Rank holder at professional level - ICSI (preferred).
