General Corporate Lawyer

Job Description:

We seek a seasoned General Corporate Lawyer to join our team in handling intricate legal work. The role involves collaborating with leadership teams, commercial teams, external counsel, the general counsel office, and external experts to support our expanding M&A activities globally.

Key Responsibilities:

  • Contract Management: Review, draft, and manage extensive contracts.
  • Legal Support: Provide legal support on internal governance, general corporate, and M&A transactions, including mergers, acquisitions, alliances, etc.
  • Document Drafting: Draft and review shareholder agreements, share subscription agreements, Articles of Association, Memorandum of Association, resolutions, and all related documents.
  • Deal Structuring: Strategize and structure deals from a legal perspective.
  • Compliance: Advise on company laws and regulations, FEMA, SEBI laws, and allied laws.
  • ESOP Management: Support ESOP management.
  • Due Diligence: Conduct legal due diligence and work with external counsel.
  • Negotiations: Support negotiations with external parties.
  • Research: Conduct research on relevant matters concerning the above laws.
  • Stakeholder Management: Manage internal stakeholders for general corporate matters.
  • Additional Responsibilities: Handle other matters necessary to support the scope.

Key Requirements:

  • Qualifications: 4-6 years PQE with an LLB degree (CS, LLM, and M&A experience and courses preferred).
  • Skills: Focused, with high analytical thinking and detail orientation.
  • Language Proficiency: High proficiency in English (verbal and written).
  • Strategic Thinking: Strategic thinking and ability to navigate complex deals.
  • Software Skills: Proficiency in Word, Excel, and PowerPoint.
  • Organizational Skills: Strong organizational skills.
