As a Legal Specialist, you will play a pivotal role in reviewing and negotiating IT contracts with customers and partners globally.

Key Responsibilities:
  • Independently review and negotiate IT contracts pertaining to the Americas region.
  • Review procurement side contracts and may have exposure to customer side contracts as well.
  • Work on contracts with customers, subcontractors, vendors, and alliance partners based globally.
  • Review and negotiation of Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.
  • Coordinate with procurement, business, and delivery functions for transaction closure.
  • Prepare monthly reports on transactions received and coordinate with other legal team members.

The role involves regular reporting, meetings with management, conducting presentations and trainings as required, and legal projects on a case-by-case basis assigned by Senior Legal Counsels.

Inter-personal Competencies:
  • Identify contractual, commercial, and operational risks and exposures in contracts.
  • Provide inputs and mark-up on contracts to negate risks and exposures.
  • Work with internal and external clients to structure, prepare, negotiate, and finalize agreements.
  • Manage and give guidance to junior lawyers.
  • Experience in negotiating IT Outsourcing contracts and other types of IT contracts with customers.
