Job Title: Tax Advisory Professional

Job Description:

We are seeking a skilled Tax Advisory Professional to join our team. The ideal candidate will have experience in structuring and advisory services on deals from a tax perspective, including foreign exchange control.

  • Structuring deals with a focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger schemes, reps, and warranties.
  • Handholding clients in conceptualizing deals and ensuring compliance with relevant laws and regulations.
  • Advisory services on possible structuring through the IFSC Gift city.
  • Front-ending and liaising with various stakeholders, including AD Banker.
  • Undertaking health checks and preparing due diligence reports.
International Tax and FEMA Advisory:
  • Providing advisory services on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax-transparent entities.
  • Effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • Assistance in compounding applications, lower withholding applications, condonation applications, assessments, appeals, and engaging with senior counsels.
