
Director of Corporate Governance and Compliance

Job Title: Associate Director
This is a key leadership role that requires strategic thinking and strong communication skills. The successful candidate will be responsible for providing comprehensive legal guidance, support, and corporate secretarial services across various functions within the organization.
- Provide expert legal advice, training, and assistance to departments such as human resources, finance, IT, admin, and corporate services on contractual matters
- Review and negotiate complex vendor contracts spanning all lines of business
- Support the HR team on employee-related disciplinary and grievance matters, POSH complaints, ethics and corruption concerns, as well as disputes and litigations involving employees
- Assess the impact of evolving legal and statutory regulations relevant to the business function, ensuring timely highlighting of these changes, and contribute to the business planning process
- Ensure end-to-end compliance with the Companies Act, LLP Act, FEMA, and maintain vigilance over overall compliance
- Manage statutory registers, filings with ROC/RD/other relevant authorities, and coordinate with other departments to ensure compliance
- Provide corporate secretarial support as needed
Requirements:
- Able to work autonomously while effectively communicating laterally and upwardly within the organization
- Exceptional interpersonal skills to navigate and address complex issues with various stakeholders
- Experience managing projects involving diverse internal and external stakeholders
- Outstanding communication and stakeholder management abilities
- Custodianship of corporate records, statutory books, and registers
- Willingness to collaborate as a team player within the legal team and other departments when necessary
- Ability to thrive in a dynamic work environment, managing tasks and delivering results efficiently
Qualifications:
- Hold a Bachelor of Law (LL.B) from a reputable law school or university
- Associate/Fellow Company Secretary (ACS/FCS) qualification
- Minimum of 12 to 15 years of combined post-qualification experience as a Counsel and Company Secretary, prior in-house experience with a large multinational organization, preferably in the services sector
- Experience working with US businesses would be advantageous
