Company Secretary Role

We are seeking a seasoned company secretary with expertise in legal, regulatory, and corporate matters.

  • The ideal candidate will oversee the legal and regulatory aspects of our business, ensuring compliance with relevant laws and regulations.
About The Position

This is an exciting opportunity for a highly skilled professional to join our tight-knit team as a company secretary. As a member of our global legal team, you will be responsible for handling various aspects of legal, regulatory, corporate, and compliance matters.

Key Responsibilities:

  • Organize and coordinate meetings, documentation, and other tasks related to corporate governance.
  • Evaluate company operations against its registered charter, objectives, and registrations within corporate regulations.
  • Ensure directors have proper signatory setup, DSC registration, and related renewals.
  • Maintain oversight of updates or changes to Memorandum and Articles of Association.
  • Prepare and maintain statutory registers under Companies Act and other applicable laws.
  • Draft, review, and revise contracts, including inter-company agreements, master services agreements, statements of work, and professional services agreements.
  • Provide guidance on local law compliance requirements, focusing on privacy laws and labor laws.
  • Support internal, external, and regulatory audits.
  • Evaluate the impact of evolving legal and statutory regulations and highlight their implementation within the organization.

Requirements

To be successful in this role, you must possess:

  • A degree in law from a reputable university.
  • Member of the Institute of Company Secretaries of India with 6-10 years of experience as a Company Secretary of a multi-national company.
  • 5+ years of experience working in an in-house legal team.
  • Experience working in a Software as a Service (SaaS) organization is preferred.
  • Preferred experience in one or more areas: global procurement practices, global corporate law, and privacy law.
  • Proactive self-starter with demonstrated ability to perform, succeed, and multitask in a fast-paced environment.
  • Reliable and dependable team member with accountability for completing assignments with a sense of urgency.
