  • Identify and communicate obstacles or risks associated with the company, coordinating with the US-based Legal Department to ensure effective risk management.
  • Maintain and update statutory registers, make necessary filings with authorities, and ensure overall compliance in India.
  • Serve as a point of contact for the Board of Directors, facilitating communication and providing support on governance matters, best practices, regulatory developments, and compliance requirements.
  • Collaborate with internal stakeholders, including legal, finance, and HR departments, to ensure alignment on governance and compliance matters.
  • Coordinate with external legal counsels, consultants, domain experts, and auditors as needed to address governance and compliance issues.

Requirements and Qualifications:

  • Membership of the ICSI with a minimum of ten years of relevant experience, including at least three years as an in-house Company Secretary of a listed company.
  • Competence in company law, foreign exchange regulations, secretarial standards, and governance, with a strong understanding of Indian corporate laws and regulations.
  • Solid organizational skills, ability to think strategically, and sound judgment in analyzing complex issues and deriving conclusions.
  • Exceptional communication and interpersonal skills, with the ability to interact confidently, transparently, and professionally with board members, senior executives, and external stakeholders.
  • Commitment to continuous learning and staying updated on changes in corporate governance regulations and best practices.
  • Ability to work independently as well as in a cross-functional environment.
