- Develop and implement policies, procedures, and guidelines for the secretarial function, ensuring compliance with Indian corporate laws and regulations.
- Provide expert corporate governance and secretarial support to various teams, ensuring effective communication and stakeholder management.
- Conduct board meetings, prepare agendas, notes, minutes, and resolutions, ensuring transparency and accountability.
- Identify and communicate obstacles or risks associated with the company, coordinating with the US-based Legal Department to ensure effective risk management.
- Maintain and update statutory registers, make necessary filings with authorities, and ensure overall compliance in India.
- Serve as a point of contact for the Board of Directors, facilitating communication and providing support on governance matters, best practices, regulatory developments, and compliance requirements.
- Collaborate with internal stakeholders, including legal, finance, and HR departments, to ensure alignment on governance and compliance matters.
- Coordinate with external legal counsels, consultants, domain experts, and auditors as needed to address governance and compliance issues.
Requirements and Qualifications:
- Membership of the ICSI with a minimum of ten years of relevant experience, including at least three years as an in-house Company Secretary of a listed company.
- Competence in company law, foreign exchange regulations, secretarial standards, and governance, with a strong understanding of Indian corporate laws and regulations.
- Solid organizational skills, ability to think strategically, and sound judgment in analyzing complex issues and deriving conclusions.
- Exceptional communication and interpersonal skills, with the ability to interact confidently, transparently, and professionally with board members, senior executives, and external stakeholders.
- Commitment to continuous learning and staying updated on changes in corporate governance regulations and best practices.
- Ability to work independently as well as in a cross-functional environment.
