Key Responsibilities
- Manage all secretarial matters and compliances related to the company, board of directors, and shareholders, ensuring timely convening of board and general meetings, preparing notices, agendas, and minutes.
- Assist in secretarial and internal audits, guaranteeing adherence to regulatory requirements.
- Prepare and review draft resolutions for bonus issues, private placements, company conversions, and changes in board constitution.
- Coordinate with the company, legal advisors, practicing company secretaries, registrar, transfer agent, stock exchange, SEBI, and other stakeholders throughout the IPO project.
- Provide legal or secretarial support for company law matters, including incorporation, reviewing and drafting articles of association, board resolutions, and statutory records maintenance.

Requirements
- Qualified Company Secretary with membership in the Institute of Company Secretaries of India (ICSI).
- LLB degree is an added advantage.
- At least 6-7 years of experience in a similar role in an in-house setting or law firm.
- Strong understanding of Indian laws and regulations, particularly in secretarial compliance.
- Excellent communication, negotiation, and interpersonal skills.
- Ability to work independently, manage multiple tasks, and meet deadlines in a fast-paced environment.

Estimated Salary: ₹25 lakhs - ₹35 lakhs per annum, depending on qualifications and experience.
