Private Equity Lawyer

We seek an accomplished private equity lawyer to lead our investment team. The successful candidate will be responsible for drafting, reviewing and negotiating various legal documents including fund documents, investment agreements, shareholder agreements and term sheets. They will also provide expert legal support for deal structuring, due diligence and transaction documentation.

Key Responsibilities:
  • Drafting and Negotiation
    • Draft, review and negotiate private equity fund documents, investment agreements, shareholder agreements and term sheets.
  • Deal Structuring and Due Diligence
    • Provide legal support for deal structuring, due diligence and transaction documentation.
  • Compliance and Regulatory Affairs
    • Ensure compliance with SEBI (AIF) Regulations, Companies Act and other relevant laws.
  • Liaison and Communication
    • Liaise with external counsels, regulators and transaction advisors for smooth execution of deals.
  • Portfolio Monitoring and Exits
    • Handle legal aspects of portfolio monitoring, exits and investor relations.
  • Research and Development
    • Conduct research on new regulations, circulars and guidelines impacting private equity and AIF business.
  • Team Support and Collaboration
    • Support internal teams with legal opinions and risk assessment.
  • Documentation and Record-Keeping
    • Maintain proper documentation and records for investments, approvals and legal correspondences.

Note: This role requires a deep understanding of Indian laws and regulations particularly those related to private equity and alternative investment funds.
