Job Role Summary

We are seeking a highly experienced and skilled Corporate Secretary & Compliance Officer to join our organization.

The ideal candidate will be responsible for ensuring the company's compliance with all statutory and regulatory requirements and maintaining effective corporate governance practices.

The Corporate Secretary & Compliance Officer will play a crucial role in advising senior leaders on corporate governance matters and ensuring that the company operates within legal and ethical standards.

  • Key Responsibilities:
  • Compliance Management: Stay up-to-date with relevant laws, regulations, and guidelines affecting business operations.
  • Develop, implement, and monitor compliance frameworks and procedures.
  • Conduct regular compliance audits and assessments to identify and address potential issues.
  • Corporate Governance: Provide guidance to senior leaders on corporate governance best practices.
  • Organize and prepare materials for board and committee meetings.
  • Assist in the development and implementation of corporate policies and procedures.
  • Company Secretarial Functions: Ensure all statutory and regulatory filings are completed accurately and on time.
  • Maintain and update corporate records, including board minutes, resolutions, and other legal documents.
  • Facilitate communication between senior leaders, management, and stakeholders.
  • Risk Management: Identify and assess potential legal and compliance risks.
  • Develop and implement risk mitigation strategies.
  • Collaborate with other departments to ensure a comprehensive understanding of potential risks.
  • Training and Awareness: Conduct training sessions for employees on compliance-related matters.
  • Keep the team informed about changes in laws and regulations that may impact the business.

Requirements:

  • Certified Company Secretary (CCS)
  • Minimum 7+ years of post-qualification business partnering experience.
  • Strong understanding of regulatory compliance, corporate actions for M&A, investor servicing, AR and GM/Postal Ballots handling, policy reviews, and Insider Trading Regulation Compliance & Material Event Awareness.
  • Strong influencing skills & ability to work with senior leaders across functions.
