Overview

The role of Company Secretary & Compliance Officer is a critical position that requires a high level of expertise and experience in ensuring the company's compliance with statutory and regulatory requirements.

This position involves providing guidance to the board of directors on corporate governance best practices, organizing materials for board and committee meetings, and assisting in developing and implementing corporate policies and procedures.

The ideal candidate will also ensure all statutory and regulatory filings are completed accurately and on time, maintain and update corporate records, and facilitate communication between the board, management, and shareholders.

Furthermore, this role involves identifying and assessing potential legal and compliance risks, developing and implementing risk mitigation strategies, collaborating with other departments, conducting training sessions for employees, and keeping the team informed about changes in laws and regulations.

The ideal candidate should possess a Certified Company Secretary designation, minimum 7+ years of post-qualification business partnering experience, strong understanding of regulatory compliance, corporate actions for M&A, investor servicing, AR and GM/Postal Ballots handling, policy reviews, and Insider Trading Regulation Compliance & Material Event Awareness.

In addition, strong influencing skills and ability to work with Senior Leaders across functions are essential. The ideal candidate must be a motivated and results-driven professional with excellent problem-solving skills and the ability to adapt to changing circumstances.
