Compliance Officer - Corporate Governance Specialist

  • Oversee and manage all compliance functions with a strong focus on corporate governance, risk management, and statutory filings.
  • Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations.
  • Ensure strict adherence to all relevant statutory and regulatory requirements, including laws and regulations applicable to a listed company.
  • Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Oversee the preparation and timely filing of all regulatory documents and returns with authorities.
  • Ensure prompt resolution to queries / notices / summons issued by regulatory authorities and engage in discussions to resolve their queries.
  • Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Skills and Qualifications
  • A mandatory qualified Company Secretary (CS) qualification is essential. A Chartered Accountant (CA) qualification is also advantageous.
  • Minimum 10 years of experience in a senior compliance, corporate secretarial, or governance role, with experience working in a listed company and handling M&A compliance.
  • In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Strong understanding of regulatory filings and procedures with authorities like the Ministry of Corporate Affairs, Registrar of Companies, SEBI, and RBI.
