About the Role

We are seeking a seasoned Lead Corporate Counsel to oversee all legal matters within our organization. As a critical member of our leadership team, you will be responsible for developing and implementing our legal strategy, ensuring compliance with laws and regulations, and mitigating legal risks. Your expertise will play a pivotal role in supporting the achievement of our business objectives.

Key Responsibilities

Legal Strategy Development

  • Develop and implement our legal strategy aligned with our overall goals and objectives.
  • Identify legal risks and opportunities, devising strategies to mitigate risks and leverage opportunities.
  • Provide guidance to senior management on key legal issues affecting the business.

Contract Management

  • Oversight of contract drafting, negotiation, and review, ensuring they are legally sound and aligned with our interests.
  • Establish standardized contract templates and processes to streamline contract management procedures.

Regulatory Compliance

  • Ensure compliance with relevant laws, regulations, and industry standards across all aspects of our operations.
  • Monitor changes in legislation and regulatory requirements, adapting policies and procedures accordingly.

Litigation Management

  • Manage and oversee all litigation matters involving the organization, including disputes, claims, and lawsuits.
  • Collaborate with external counsel to develop litigation strategies and represent our interests in legal proceedings.
  • Evaluate settlement options and make recommendations to senior management regarding litigation resolution.

Corporate Governance

  • Ensure compliance with corporate governance requirements and best practices.
  • Support senior management in fulfilling their fiduciary duties and responsibilities.
  • Maintain corporate records and ensure compliance with corporate formalities.

Risk Management

  • Identify and assess legal risks associated with business activities, developing strategies to mitigate those risks.
  • Provide legal advice and support in crisis management situations.

Requirements and Qualifications

A bachelor's degree from a reputable law school is essential, along with a minimum of 14+ years of experience practicing law, preferably in a Legal role with a B2B SaaS organization. You should have a proven track record of successfully managing legal matters and providing strategic legal advice in a corporate environment. Strong leadership, communication, and interpersonal skills are crucial, as well as experience working in a startup environment and a US-based organization. The ability to think strategically, solve complex problems, and make sound decisions under pressure is vital. A high level of integrity, professionalism, and ethical conduct is also expected.
