As a global leader, Amagi is expanding its team to support its continued growth and success. We are seeking a highly skilled and experienced legal professional to join our team as a Company Secretary and Legal Counsel.
About the Role
This is a broad and challenging role that will require the successful candidate to handle Amagi's secretarial and legal compliances, ensuring adherence to the highest standards of corporate governance.
The successful candidate will report to Amagi's VP, Legal and will require coordination with global cross-functional partners across multiple geographies.
Key Responsibilities
a. Secretarial Responsibilities
- Handling corporate secretarial matters and FEMA related compliances.
- Leading the legal aspects of IPOs, including reviewing prospectus, coordinating with regulatory bodies (SEBI, NSE, BSE), and managing due diligence processes.
- Overseeing and ensuring timely compliance with statutory and regulatory requirements applicable to Amagi.
- Supporting board, committee, and annual general meetings, preparing agendas, board packs, and minutes, ensuring that all legal requirements are timely fulfilled, conveying decisions to stakeholders based on requirements, maintaining proper records, etc.
- Working with various internal teams to enable applicable board and committee approvals, providing resolutions, forms, requisite documents, etc.
- Advising the board on corporate governance best practices and ensuring adherence to applicable laws and regulations.
- Staying updated with changes in laws, regulations, and guidelines relevant to Amagi's operations.
- Developing and implementing compliance programs to ensure adherence to all legal and regulatory requirements.
- Conducting periodic audits to assess compliance levels and addressing any identified issues promptly.
b. Legal Advisory Responsibilities
- Providing legal advice on various matters, including contracts, agreements, and compliance issues.
- Providing thought partnership and assisting as needed on corporate transactions, intellectual property matters, privacy, employment law, compliance, litigation, and any other legal matters that may arise globally.
- Identifying legal and regulatory risks that may affect Amagi's operations and developing strategies to mitigate them.
- Reviewing new products/services and initiatives to provide legal risk mitigation strategies and drafting related terms and conditions, legal disclaimers, and governing policies.
- Providing thought partnership and assisting as needed on corporate transactions, intellectual property matters, privacy, employment law, compliance, litigation, and any other legal matters that may arise globally.
- Working with internal business clients to develop and implement best practices, processes, and internal resources, such as playbooks, FAQs, trainings, and presentations, to support business objectives.
- Assisting with the implementation of contract management tools and managing contract management processes and procedures on a go-forward basis.
Requirements
We are seeking a candidate with a minimum of 10 years of legal experience, preferably in a multinational corporation or law firm. The ideal candidate will have in-depth knowledge of corporate laws, SEBI regulations, and other applicable statutes.
The successful candidate will also have experience with the IPO process, including pre-IPO readiness and related corporate governance and compliance practices.
We are looking for a candidate with a sound business judgment, highly organized, and able to work effectively in a fast-paced, international, and constantly evolving environment.
The ideal candidate will have demonstrated ability to proactively identify and analyze potential legal issues and provide thoughtful, pragmatic, and business-oriented legal advice and solutions.
Excellent written and verbal communication skills, with a strong ability to clearly and concisely convey complex concepts and recommendations, are essential.
A highly collaborative individual, with a strong ability to build relationships, gain credibility, and partner across functions to build consensus, is also required.
Comfort working in a global organization and experience negotiating SaaS agreements are a plus.
Media tech experience, with digital advertising and/or privacy expertise, is also a plus.
A LL.B. degree from a recognized university in India, qualified Company Secretary (ICSI), and a strong understanding of corporate laws and regulations are required.
