Transaction Advisory Leader
This role demands a seasoned leader with expertise in deal execution, post-deal integration, and restructuring. The ideal candidate will have strong leadership skills, excellent communication abilities, and the ability to drive synergy realization.
Key Responsibilities:- Lead Transaction Execution: Guide clients through critical deal execution and post-closing phases ensuring seamless transitions and long-term value creation.
- Post-Deal Integration: Oversee integration of acquired businesses, including financial systems, reporting, governance, risk management, and compliance.
- Synergy Realization: Develop and implement structured MIS dashboards and KPI frameworks to track and realize synergies.
- Separation and Carve-Outs: Manage separation and carve-out activities where required, including shared services, asset transfers, and employee migration.
- Compliance Oversight: Ensure compliance with regulatory frameworks, including Companies Act, FEMA, SEBI, RBI, and tax regulations.
- Statutory Compliance: Liaise with statutory auditors, tax advisors, and regulators to ensure smooth compliance post-deal.
- Closure Process: Support clients with closing balance sheet preparation, purchase price allocation, and consolidation.
- Trusted Advisor: Act as trusted advisor to boards, promoters, CFOs, and private equity investors on post-transaction strategy.
- Cross-Border Coordination: Manage cross-border coordination with legal, tax, and regulatory teams.
- Senior Stakeholder Updates: Provide clear communication and governance updates to senior stakeholders.
- Team Building: Build and lead a multidisciplinary team (finance, accounting, tax, process experts) to deliver transaction execution services.
- Standard Operating Procedures: Drive standard operating procedures for post-deal advisory, ensuring consistency and quality.
- Mentorship: Mentor Managers and Associates, fostering consulting excellence and knowledge development.
- Service Offerings: Develop service offerings in post-deal advisory and integration.
- Client Engagement: Contribute to proposals, client pitches, and relationship management with key accounts.
- Industry Representation: Represent the firm at industry forums, webinars, and regulatory discussions.
- Deal Execution Expertise: Deep expertise in M&A deal execution, post-deal integration, carve-outs, and restructuring.
- Financial Reporting: Strong understanding of financial reporting, accounting standards (Ind AS, IFRS), tax structuring, and compliance frameworks.
- Leadership Abilities: Proven ability to lead negotiations, manage stakeholders (boards, promoters, PE funds, global investors).
- Scenario Analysis: Hands-on experience with scenario analysis, synergy modelling, and performance tracking.
- Experience Required: 12+ years in M&A, corporate finance, or transaction advisory (Big 4, consulting, or corporate M&A leadership).
- Chartered Accountant: Chartered Accountant / CFA / MBA (Finance) / LLP qualification.
- Track Record: Track record of leading complex cross-border transactions and post-deal execution programs.
Advantageous Qualifications: Experience in automotive, manufacturing, EV, or diversified industrials is an advantage.
