Job Title: Chief Governance Officer

We are seeking an experienced Chief Governance Officer to join our organization. The ideal candidate will be a qualified Company Secretary (CS) with a minimum of 10 years of experience in compliance and corporate governance, adhering to all statutory, regulatory, and internal governance standards.

This role requires exceptional leadership, analytical, and communication skills to effectively advise the board and management. As a key member of our team, you will play a crucial role in overseeing all compliance functions, with a strong focus on corporate governance, risk management, and statutory filings.

  • Corporate Governance & Board Support
  • Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable SEBI guidelines for listed entities.
  • Regulatory Compliance
  • Ensure strict adherence to all relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to a listed company.
  • Risk Management
  • Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Statutory Filings
  • Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for the listed entities and all subsidiary entities.
  • Responding to Regulators
  • Ensure prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engage in discussions with them to resolve their queries.
  • Internal Audits
  • Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills:

  • A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
