Key Responsibilities
  • Corporate Governance & Board Support: The successful candidate will provide expert guidance to the board of directors on matters related to corporate governance, ensuring seamless operations and adherence to regulatory requirements. They will also facilitate board and committee meetings, prepare agendas, and ensure timely follow-up on action items.
  • Regulatory Compliance: This role requires a deep understanding of relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to listed companies. The candidate will be responsible for ensuring strict adherence to these requirements and identifying areas for improvement.
  • Acquisition & Integration: In the event of new acquisitions, the successful candidate will manage and integrate the compliance functions of the acquired companies, ensuring a smooth transition.
  • Risk Management: Proactive identification, assessment, and mitigation of potential compliance risks are essential in this role. The candidate will develop and implement robust internal policies and procedures to minimize risk and ensure compliance.
  • Statutory Filings: Overseeing the preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI is a critical responsibility. The candidate must ensure that all filings are accurate and submitted on time.
  • Responding to Regulators: Ensuring prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities is crucial. The candidate will engage with regulators to resolve their queries and maintain a positive relationship.
  • Internal Audits: Regular internal audits and reviews will be conducted to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • Professional Qualifications: A mandatory qualified Company Secretary (CS) or Chartered Accountant (CA) qualification is required. Relevant experience and industry certifications are highly valued.
  • Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role is essential. Experience working in a listed company and handling M&A compliance is highly desirable.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation is necessary.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI is essential.
