About This Role

We are seeking a seasoned Compliance Specialist to join our team. The ideal candidate will possess strong analytical and critical-thinking skills, leadership and team management abilities, as well as excellent communication and interpersonal skills.

  • The successful candidate will have a bachelor's degree in any field, preferably Company Secretary (CS). A minimum of 6+ years of professional experience as a Company Secretary is required, with experience in the pharma or other industries being highly desirable.

Responsibilities:

  1. Secretarial Compliance: Assist in secretarial compliances of multiple entities worldwide, convene Board, Committee, and General Meetings, ensuring compliance with relevant regulations.
  2. Meeting Coordination: Prepare resolutions, notices, agendas, convene meetings, and draft minutes for India-based and overseas entities.
  3. Reporting and Document Preparation: Create Board Reports, CG Reports, Business Responsibility & Sustainability Reports, ESG Reports, and other Annual Report documents.
  4. Regulatory Knowledge: Possess thorough understanding of the Companies Act, its Rules, FEMA Guidelines, and basic understanding of overseas jurisdictions.
  5. Statutory Returns: Ensure timely submission of statutory returns/documents with the Registrar of Companies and other authorities.
  6. Operational Management: Assist the Head Company Secretary/Secretarial Team in managing daily operations of the secretarial function.
  7. Regulator Interaction: Interact with regulators such as regional offices of Ministry of Corporate Affairs (MCA), SEBI, and RBI, and overseas authorities.
  8. Compliance Obligation: Ensure 100% timely fulfillment of statutory compliance obligations and relevant overseas authorities.
  9. Process Implementation: Support prompt implementation of compliance process changes and monitoring regulatory environment changes.
  10. Coordination: Coordinate with Statutory, Secretarial, and Internal Auditors for timely completion of audits.
  11. Update Advisory: Release corporate update advisories and regulatory updates on a regular basis.
  12. Proactive Support: Provide proactive, practical, qualitative, and cost-effective support and guidance to cross-functional teams.
  13. Policies and Charters: Review and update policies and charters, amending them as per regulatory changes.
  14. Advisory Services: Offer advisory services on SEBI Listing Regulations, Companies Act 2013, SEBI PIT Regulations, and other relevant acts.
