About this role

We are seeking a seasoned professional to join our organization as a Corporate Governance Manager. In this role, you will play a pivotal part in ensuring compliance with all legal, regulatory, and statutory requirements.

The successful candidate will be responsible for managing corporate governance practices, maintaining company records, organizing board meetings, and serving as a vital link between stakeholders and the board of directors.

This is a critical role that requires strong analytical and problem-solving skills, excellent communication and interpersonal skills, and proficiency in handling board processes and drafting minutes.

Key Responsibilities:

  • Ensure compliance with statutory and regulatory requirements.
  • Draft, review, and maintain statutory registers, records, and company documentation.
  • Organize, prepare agendas, and draft minutes for Board Meetings, Annual General Meetings, and Committee Meetings.
  • Advise management and the board on corporate governance matters and regulatory changes.
  • File necessary returns, forms, and documents with regulators.
  • Act as the point of contact between regulators, auditors, stakeholders, and legal advisors.
  • Manage secretarial audits, due diligence, and compliance reporting.
  • Provide strategic support to leadership in decision-making with respect to governance and risk management.
  • Safeguard company interests by ensuring transparency and accountability in compliance matters.
  • Assist in drafting corporate policies, contracts, and legal documents.

Requirements:

  • Strong knowledge of Companies Act, SEBI regulations, FEMA, and corporate governance practices.
  • Proficiency in handling board processes, drafting minutes, and managing secretarial records.
  • Excellent knowledge of compliance filings with regulatory authorities.
  • Strong analytical and problem-solving skills for handling complex governance and compliance issues.
  • Exceptional communication and interpersonal skills to liaise effectively with directors, regulators, and stakeholders.
  • Proficiency in MS Office Suite and compliance management tools.
  • Ability to multitask, work under pressure, and deliver within deadlines.
  • High ethical standards and attention to detail.
  • Master's/Bachelor's degree in Law, Business Administration, or related field.
  • Membership of the Institute of Company Secretaries of India (ICSI) with valid membership number.
  • 4-8 years of relevant professional experience in corporate secretarial roles.
