About the Role

As a seasoned Compliance Specialist, you will play a pivotal role in ensuring the seamless execution of corporate governance initiatives and maintaining compliance with regulatory requirements.

Key Responsibilities
  • Share Allotment Process: You will be responsible for handling the share allotment process, including ROC filing, dematerialization listing, and ensuring completion of all related activities.
  • RBI Compliances: You must have in-depth knowledge of RBI compliances under FEMA pertaining to ODI applications.
  • Corporate Governance: Preparation of key documents, such as Notice of Annual General Meeting, Board Report, Corporate Governance Report, Business Responsibility Sustainability Report, and Report on ESG.
  • Dividend Declaration: Compliance with declaration payment of dividend and transfer to IEPF (Investor Education Protection Fund).
  • NCD Issuance: Ensuring pre- and post-compliance with respect to issuance of listed Non-Convertible Debentures (NCD) on private placement basis.
  • Regulatory Filings: Filing of various reports/disclosures with Stock Exchanges/Ministry of Corporate Affairs on quarterly/half-yearly/yearly basis and on event basis under SEBI Listing Regulations.
  • SEBI Compliances: Compliance under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and SEBI (Prohibition of Insider Trading) Regulations, 2015, SEBI ICDR Regulations, SEBI Debt Regulations, etc.
  • Statutory Audits: Coordinating with Statutory Auditors, Internal Auditor Secretarial Auditor for closing audit on timely basis.
  • Investor Grievances: Assisting the Company Secretary in ensuring real-time updating the website for all Investor Contents and Mandatory requirements as per the applicable laws.
  • Team Coordination: Coordinating with Registrar Share Transfer Agent for various investor grievances and also coordinating with various business/operations team.
  • Knowledge Updates: Assisting the Company Secretary to hold inter and intra team knowledge update meetings to ensure that the respective department is updated with any change in the applicable Laws.
Requirements
  • Strong Regulatory Knowledge: In-depth knowledge of regulatory requirements and compliances.
  • Excellent Communication Skills: Ability to communicate effectively with various stakeholders, including statutory auditors, internal auditors, secretarial auditors, and investors.
  • Organizational Skills: Ability to prioritize tasks, manage multiple projects simultaneously, and meet deadlines.
  • Technical Skills: Proficiency in using relevant software, tools, and technologies to support regulatory filings and other tasks.
  • Adaptability: Ability to adapt to changing regulatory requirements and industry trends.
