Legal Director

Job Description:

The Legal Director will be a key member of the legal leadership team, working closely with the Group Chief Legal Officer (GCLO) to provide strategic legal guidance and support. This role involves significant interaction with senior management, providing advice on a wide range of legal issues, managing external counsel relationships, and leading internal teams.

Responsibilities:

  • Provide strategic legal advice on complex business matters, influencing decision-making across the organization.
  • Assist with litigation strategy and manage relationships with external counsel.
  • Oversee all legal aspects of the business, including contract negotiation, dispute resolution, and regulatory compliance.
  • Provide legal support for business acquisitions and throughout the project life cycle.
  • Lead funding transactions from a legal perspective, managing external counsel and guiding stakeholders.

Corporate Deals:

  • Lead equity deals, ensuring closure and resolving outstanding issues with counterparties.

Contracts:

  • Lead the contracts function from the legal team, involving drafting, negotiation, and finalization of contracts with third-party vendors, suppliers, consultants, etc.

M&A/ Corporate Finance:

  • Defend indemnity claims related to corporate funding and sale of assets transactions.
  • Draft responses to indemnity notices and address other issues.
  • Support the Corporate Finance team in SPV governance, regarding relationships with investors.

Litigations:

  • Support decision-making on strategic litigations.
  • Lead strategic litigations as advised by the GCLO or management.

Business Acquisition:

  • Support the Business Acquisition team in participating in competitive bids, reviewing bid documents, issuing detailed risk analyses, addressing queries, vetting bid proposals, reviewing communications, conducting due diligence, and issuing in-house legal opinions.

Policy Advocacy:

  • Provide general legal advisory on strategy and interpretation of draft/new regulations.
  • Review proposed standard bidding documents or amendments to existing standard bidding documents.
  • Support the policy advocacy team in communicating with authorities and reviewing representations.

Qualifications:

A law graduate from a reputable law school, with work experience of around [15+] years in multinational companies, preferably in power/infrastructure/energy sectors. A mix of in-house and law firm experience would be desirable.
