Job Title: Corporate Governance Expert

The Company Secretary plays a crucial role in ensuring the smooth operation of a company's corporate governance. This key position is responsible for convening and providing administration for annual general meetings (AGMs), including producing agendas, taking minutes, conveying decisions, and handling meeting correspondence.

In addition to these administrative tasks, the Company Secretary also provides legal, financial, and/or strategic advice during and outside of meetings. This expertise ensures that directors and members of the senior leadership team are well-informed and equipped to make informed decisions.

The Company Secretary is also responsible for advising on corporate governance matters, keeping up to date with regulatory or statutory changes and policies that might affect the organisation, and ensuring that policies are up to date and approved. This includes communicating with external professionals involved in corporate governance, such as auditors.

In public companies, the Company Secretary acts as a point of contact and builds good relationships with shareholders. They implement processes or systems to help ensure good management of the organisation or compliance with legislation.
