The ideal candidate for this role will be a qualified Company Secretary with 10 years of experience in compliance and corporate governance, adhering to all statutory, regulatory, and internal governance standards.

We seek an experienced professional to oversee compliance functions, focusing on corporate governance, risk management, and statutory filings. This role requires exceptional leadership, analytical, and communication skills to effectively advise the board and management.

Key Responsibilities

  • CORPORATE GOVERNANCE & BOARD SUPPORT:
  • Advise the board on corporate governance, ensuring efficient operations. Facilitate board meetings, preparing agendas, and ensure accurate minute-taking and follow-up on action items in accordance with SEBI guidelines for listed entities.
  • REGULATORY COMPLIANCE:
  • Ensure strict adherence to statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to listed companies.
  • ACQUISITION & INTEGRATION:
  • Manage compliance functions of newly acquired companies, ensuring a seamless transition.
  • RISK MANAGEMENT:
  • Identify, assess, and mitigate potential compliance risks across the organization, developing robust internal policies and procedures.
  • STATUTORY FILINGS:
  • Oversee preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for listed entities and subsidiaries.
  • RESPONDING TO REGULATORS:
  • Ensure prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engage in discussions to resolve their queries.
  • INTERNAL AUDITS:
  • Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • PROFESSIONAL QUALIFICATIONS:
  • Mandatory CS. CA qualification is a strong advantage.
  • EXPERIENCE:
  • Minimum 10 years of experience in senior compliance, corporate secretarial, or governance roles. Must have experience working in a listed company and handling M&A compliance.
  • LEGAL & FINANCIAL KNOWLEDGE:
  • In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • REGULATORY EXPERTISE:
  • Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
