We are seeking a skilled Tax and Deal Structuring Specialist to join our team.
This is an exciting opportunity for a professional with strong foundation in CA/LLB to leverage their expertise in tax advisory and structuring deals.
Key Responsibilities:- Assist in structuring and advisory on deals from a tax perspective, including foreign exchange control, FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.
- Draft and review deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps, and warranties, etc.
- Provide advisory services on possible structuring through the IFSC Gift city.
- Front-end liaisoning with various stakeholders, including AD Banker.
- Conduct health checks and prepare due diligence reports.
- Advisory assignments on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, tax transparent entities, etc.
- Effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
- Assist in FEMA compounding applications and provide advisory services on assessments, appeals, and engaging with Senior Counsels.
- Prepare synopsis and briefing for lower withholding applications, condonation applications, assessments, and appeals at all levels.
