  • We are seeking a highly skilled Compliance Manager to join our team.

Key Responsibilities:

">
  • The successful candidate will be responsible for ensuring complete compliance with the Companies Act and allied regulations.
  • They will prepare, file, and register statutory documents, forms, returns, and applications with MCA.
  • Maintaining statutory records, registers, and books of the company is also a key responsibility.
  • The Compliance Manager will draft and prepare notices, agendas, and supporting documents for Board, Committee, and General Meetings; prepare minutes and maintain records.
  • They will manage annual filings and other related statutory documentation.
  • Collating and maintaining data on company-wide statutory compliances is another crucial aspect of the role.
  • Handling event-based compliances including CSR provisions, MSME filings, Deposits Rules, Internal Audit, Charges, Cost Audit, etc. is essential.

FEMA Compliances:

  • The Compliance Manager will file Annual Return on Foreign Assets & Liabilities (FLA) with RBI.
  • Ensuring compliance with RBI's Single Master Form (SMF) and Entity Master Form (EMF) requirements is critical.
  • They will comply with RBI's Legal Entity Identifier (LEI) requirements.
  • Handling other FEMA and RBI-related compliances as applicable is also part of the job.

Legal & Contractual Matters:

  • The Compliance Manager will draft, review, and vet contracts, agreements, MoUs, deeds, powers of attorney, affidavits, undertakings, and other legal documents.
  • Managing and maintaining the central repository of contracts and agreements is a key responsibility.
  • Reviewing and drafting terms and conditions for purchase orders and commercial contracts is also essential.
  • Responding to legal notices and assisting in dispute resolution is critical.
