Legal Specialist-Customer Contracts

Job Description:

The role of Legal Specialist - Customer Contracts involves working with procurement, business and delivery functions to close transactions. The candidate will review and negotiate IT contracts pertaining to Americas (US, Canada, LATAM) and have exposure to customer side contracts as well.

Key Responsibilities:

  • Review and negotiation of Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.
  • Co-ordination with procurement, business and delivery functions for closure of transactions.
  • Co-ordination with other legal team members.
  • Prepare monthly report on transactions received in particular month.

Inter-personal Competencies:

  • Identifying contractual, commercial and operational risks and exposures in contracts;
  • Providing inputs/mark-up on contracts to negate contractual, commercial and operational risks and exposures;
  • Working with internal and external clients to structure, prepare, negotiate and finalize agreements, letters of intent, commercial proposals, etc.;
  • Major Experience in Contract Negotiation is required;
  • Review and Negotiate Customer Agreements;
  • Providing legal support for ongoing contract management related activities; Working in close co-ordination with external legal counsel;
  • Participate in discussions with internal stakeholders, external counsels and advisors during the entire contracting process;
  • Manage and give guidance to junior lawyers;
  • Experience in negotiating IT Outsourcing contracts and other types of IT contracts with customers.

Skills and Qualifications:

  • 4-8 years of experience in a related field;
  • Excellent communication and negotiation skills;
  • Ability to work independently and as part of a team;
  • Strong analytical and problem-solving skills;
  • Knowledge of contract law and negotiation techniques;
  • Ability to adapt to changing priorities and deadlines.
