As a Compliance Lead, you will spearhead the company's adherence to regulatory guidelines. To excel in this role, we require an accomplished Company Secretary with expertise in compliance, corporate governance, and risk management.

The ideal candidate will oversee all compliance functions, focusing on corporate governance, risk assessment, and statutory filings. Exceptional leadership, analytical, and communication skills are necessary to advise the board and management effectively.

Key Responsibilities:

  • Corporate Governance & Board Support: Advise the board of directors on matters of corporate governance, facilitating meetings, and ensuring efficient operations.
  • Regulatory Compliance: Ensure adherence to statutory and regulatory requirements, including the Companies Act and SEBI regulations.
  • Acquisition & Integration: Manage compliance functions for newly acquired companies, ensuring seamless integration.
  • Risk Management: Identify, assess, and mitigate potential compliance risks across the organization.
  • Statutory Filings: Oversee preparation and timely filing of regulatory documents with authorities like the Registrar of Companies and Ministry of Corporate Affairs.
  • Responding to Regulators: Ensure prompt resolution to queries and notices issued by regulatory authorities.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Skills & Qualifications:

  • Professional Qualifications: Mandatory qualified Company Secretary (CS). Chartered Accountant (CA) qualification is advantageous.
  • Experience: Minimum 10 years of experience in senior compliance, corporate secretarial, or governance roles. Experience working in a listed company and handling M&A compliance is essential.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, and SEBI.
