We are seeking a seasoned executive to fill the role of Chief Governance Officer. The ideal candidate will possess exceptional leadership skills and in-depth knowledge of corporate governance principles.
About the Role:- Corporate Governance & Board Support: Provide strategic guidance to the board of directors on matters related to corporate governance, ensuring effective operations and adherence to regulatory requirements.
- Regulatory Compliance: Ensure strict adherence to all relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to listed companies.
- Risk Management: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
- Statutory Filings: Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for listed entities and subsidiary entities.
- Responding to Regulators: Ensure prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engage in discussions to resolve their queries.
- Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.
- Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
- Experience: Minimum 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
- Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
- Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
