Job Overview:

We are seeking a seasoned Company Secretary to join our team at Adih Biztech Private Limited. As a key member of our organization, you will be responsible for overseeing corporate compliance and ensuring adherence to relevant regulations.

Key Responsibilities:

  • Corporate Governance:
  • Ensure full compliance with the Companies Act, 2013, SEBI Regulations, FEMA guidelines, and Secretarial Standards.
  • Manage ROC filings and other statutory submissions in a timely manner.
  • Develop and oversee corporate governance policies and procedures.
  • Client Liaison:
  • Build and maintain strong client relationships, addressing inquiries and providing expert advice on compliance matters.
  • Act as a key point of contact for clients, ensuring clear communication and seamless execution of services.
  • Team Management:
  • Lead, mentor, and supervise a team of company secretaries, ensuring high standards of work and professional development.
  • Allocate tasks, set priorities, and monitor progress to ensure deadlines are met.
  • Drafting & Documentation:
  • Prepare, review, and maintain essential corporate documents, including board resolutions, minutes of meetings, and compliance reports.
  • Ensure accuracy, attention to detail, and adherence to company and regulatory standards in all documentation.
  • Strategic Compliance Support:
  • Provide expert support in interpreting regulatory changes, advising management, and implementing necessary actions.
  • Stay updated on amendments in corporate laws and standards, ensuring proactive compliance planning.

Requirements:

To succeed in this role, you should have:

  • A qualified Company Secretary with a minimum of 3 years of experience in a similar role.
  • In-depth knowledge of the Companies Act, 2013, SEBI Regulations, FEMA guidelines, and Secretarial Standards.
  • Proven experience in ROC compliance, corporate governance, and team management.
  • Strong drafting, analytical, and problem-solving skills.
  • Excellent verbal and written communication skills, with the ability to liaise effectively with clients and stakeholders.
  • Detail-oriented, with the ability to prioritize tasks and manage multiple deadlines.
  • A proactive team player with the ability to work independently and collaboratively.
