Job Overview:

We are seeking a qualified and dynamic Company Secretary to lead corporate governance and regulatory compliance efforts. This role involves managing corporate secretarial functions, advising the board on legal and governance matters.


Key Responsibilities:

1. Corporate Governance & Compliance:

- Ensure compliance with the **Companies Act, 2013**, SEBI regulations, and statutory requirements.

- Maintain corporate records, statutory registers, and minutes of meetings.

- Provide guidance on corporate governance practices and compliance matters.


2. Board and Shareholder Relations:

- Organize and manage board meetings, AGMs, and EGMs, preparing agendas, notices, and minutes.

- Foster effective communication with shareholders and provide advice on voting rights, proxies, and related issues.


3. Legal Advisory:

- Provide guidance on corporate restructuring, mergers, acquisitions, joint ventures, and other strategic legal matters.

- Collaborate with legal counsel to address disputes, compliance risks, and other legal challenges.


4. Audit & Risk Management:

- Coordinate internal and external audits, ensuring compliance with all regulatory and statutory requirements.

- Monitor and mitigate governance and compliance-related risks.


Qualifications:

Education: Qualified Company Secretary (ACS/FCS) from ICSI; LLB preferred.

Experience:At least 5+ years in corporate secretarial roles.

Expertise:In-depth understanding of the **Companies Act, 2013**, SEBI regulations, and related frameworks in India.


Skills:

- Comprehensive knowledge of corporate laws, and regulatory compliance.

- Strong communication and interpersonal skills for engaging with the board, regulators, and external stakeholders.

- Exceptional attention to detail, high ethical standards, and the ability to maintain discretion.

- Capable of working independently and collaboratively within a team.


Additional Information:

- The role may involve occasional travel for board meetings, regulatory discussions, or hearings.

- The ideal candidate should be proactive and equipped to drive the company’s compliance and governance strategy
