Job Title: Senior Legal Counsel

Location: Mumbai

We are seeking a skilled and motivated senior legal professional to join our client’s Legal team. The Senior Legal Counsel will play a critical role in advising and supporting the company on a wide range of legal matters, including commercial contracts, financings, compliance, JVs and partnerships, corporate governance, regulatory issues, and risk management. The ideal candidate will have significant experience in the sustainability linked sectors.


This position requires a strategic thinker with excellent problem-solving skills, who can act as a trusted advisor to senior leadership and help drive the company's mission forward.


Key Responsibilities:

Legal Advisory:

  • Provide strategic legal advice and guidance to executives, senior management, and business units on a range of issues affecting the company’s operations.
  • Advise on legal risks and develop mitigation strategies in alignment with business objectives.
  • Ensure all business activities comply with relevant laws and regulations, particularly in the wastewater treatment and waste to energy domains.

Contracts and Commercial Agreements:

  • Draft, review, and negotiate commercial contracts, financing documents, joint ventures, partnerships, and licensing agreements.
  • Manage legal aspects of procurement and service agreements with clients, vendors, and subcontractors, ensuring risk mitigation and adherence to industry standards.
  • Oversee the legal aspects of IP protection, particularly concerning proprietary technology and innovations.

Regulatory Compliance:

  • Keep abreast of changes in environmental regulations, energy policies, and industry standards impacting wastewater treatment and waste-to-energy projects.
  • Develop and implement compliance programs to ensure the company meets regulatory obligations in all jurisdictions where it operates.
  • Collaborate with external counsel and regulatory agencies as needed to address compliance issues and obtain necessary permits or licenses.

Corporate Governance and Risk Management:

  • Support the Board of Directors and senior leadership in matters of corporate governance, policy development, and shareholder relations.
  • Identify and manage legal risks related to new projects, investments, and strategic partnerships.
  • Ensure appropriate risk management and due diligence for mergers, acquisitions, and other corporate transactions.

Dispute Resolution and Litigation Management:

  • Oversee dispute resolution, litigation, and arbitration matters, working with outside counsel as required.
  • Lead internal investigations and develop strategies to prevent future litigation risks.

Team Collaboration and Leadership:

  • Work closely with other departments, including Business Development, Procurement, Operations, Finance, and HR, to ensure cross-functional alignment on legal matters.
  • Build the legal team for the company and mentor junior legal staff and provide guidance on complex legal issues.


Qualifications:

  • Bachelor's or Master’s degree in law from a reputed institution.
  • Minimum 10 years of relevant legal experience. Preference for part of the experience to come from working for corporates in the sustainability space.
  • Experience of working on cross-border transactions and / or multinational companies.
  • Experience in building / leading a team of legal professionals.
  • Excellent written and verbal communication skills, with the ability to articulate legal matters to diverse audiences.
  • Ability to work independently, prioritize tasks, and meet tight deadlines in a dynamic environment.
  • High level of integrity, attention to detail, and commitment to excellence.
