The Role – Executive (Legal Compliance)
Location: Mumbai
Experience: 1–3 years
We’re looking for a proactive and detail-oriented professional to join our team in Mumbai.
Key Responsibilities:
Assist in drafting fund offering documents (TD, PPM, IMA, CA).
Track regulatory changes (SEBI AIF, RBI/FEMA) and update fund documentation accordingly.
Liaise with regulators and legal consultants for compliance, reporting, and filings (Companies Act, LLP Act, Trust Act).
Support compliance for investor communications.
Draft, vet, and negotiate investment-related agreements (TS, SSHA, SSA, SPA).
Support legal and compliance due diligence for portfolio companies.
Collaborate with stakeholders on structuring and documentation of transactions.
Draft and vet agreements with distributors, referral agents, and service providers.
Manage litigation matters with external counsel.
Support partner/board/committee/shareholder meetings with necessary documentation.
Qualifications
LLB + CS (Company Secretary preferred) from top academic institutions.
Experience & Skills
1–3 years’ experience (VCF experience preferred).
Strong knowledge of SEBI AIF, RBI/FEMA, Corporate & Securities Laws, Contract Act, Arbitration, Stamp Duty, IP, Data Protection .
Ability to anticipate legal risks, handle multiple projects, and adapt to change.
High initiative, self-motivated, with excellent communication & interpersonal skills.
