Our client is a leading midxe2x80x90market investment bank with strong practices around M A PE Capital Markets Institutional Equities Wealth Management Insurance Broking and Asset Management Services We are looking for Group Secretarial and Legal Head who would report to the COO Location- Mumbai or Ahmedabad1 Group Secretarial Ensuring end to end secretarial and compliance with provisions of the Companies Act 2013 Drafting vetting executing commercial legal agreements vendor agreement contracts MOU notices Non - disclosure Agreements Engagement Letters Referral agreements etc Ensuring compliance under SEBI Merchant Banking Regulations SEBI Prohibition of Insider Trading Regulations and all other applicable law to Merchant Banker Any other compliance matters as assigned from time to time Communicate at all levels and directly engage with Board of Directors and Managing Director on all compliance related aspects All internal and external audit requirements of the group All compliance and legal needs across all group entities 2 Group Legal Advisory Provide legal counsel on a broad range of issues including corporate governance securities law mergers and acquisitions and general corporate matters Draft review and negotiate various contracts agreements and legal documents 3 Group Risk Management Identify and mitigate legal risks associated with the company s business operations Oversee the management of litigation disputes and investigations 4 Corporate Governance Ensure compliance with corporate governance standards and practices Advise the board of directors on legal and compliance matters Requirements Graduate CS Membership LLB Compliance expertise with minimum 10 years of experience across broking merchant banking wealth related products etc Should have independently managed relationships with regulators
