This role involves overseeing all legal and company secretarial matters within the organisation ensuring compliance with regulatory requirements and providing strategic legal counsel This position is based in Mumbai Ensure compliance with the Companies Act 2013 SEBI Securities and Exchange Board of India Regulations RBI Reserve Bank of India guidelines and other applicable laws Organize and manage Board Meetings Committee Meetings Annual General Meetings AGMs and Extraordinary General Meetings EGMs including preparing agendas notices and minutes Maintain all statutory company records and handle filings with authorities such as the Registrar of Companies RoC SEBI RBI and stock exchanges Monitor changes in relevant legislation and regulatory requirements and take necessary actions to ensure ongoing compliance Draft and update company policies in line with the latest legal guidelines and circulars Advise the Board of Directors on matters related to corporate governance legal compliance and ethical standards Coordinate with auditors legal advisors and regulatory bodies and manage secretarial audits and timely submission of compliance certificates Oversee corporate actions such as share transfers share issuances dividend payments and other shareholder-related matters Respond to investor queries and manage communications with shareholders regarding corporate events dividends and other matters of interest Handle additional compliance requirements such as filing charges for borrowings managing stamp duty and other related tasks as needed Only candidates with 12 yrs PQE based out of Mumbai or willing to move applyOnly candidates with experience with listed compliances apply An ideal candidate would be as follows A Qualified CS LLB will be a plus Minimum of 12 years of relevant experience in the field Proven experience in managing corporate secretarial functions for companies listed on BSE 30 and Nifty 50 with in-depth knowledge of SEBI LODR requirements Demonstrated ability to provide secretarial and administrative support at the Board and senior management levels Excellent verbal and written communication skills The organisation is a well-established entity in the hospitality sector Competitive salary and excellent exposure to key stakeholders Opportunity to work with a reputable brand in the hospitality sector
