**Job description**

**Roles and Responsibilities**

1. All Secretarial/ Corporate compliances under Companies Act 2013 & FEMA such as: a. Filing of forms, returns etc. with ROC, Ministry of Company Affairs, RBI b. Maintenance of statutory records and registers etc. c. Maintenance of Corporate documentation.

2. Preparation of Annual Return, supporting documents and related AGM compliances.

3. Assist in Secretarial Activities of other Group Companies.

4. Monitoring regulatory changes and implementation of the same.

5. Key Role in due diligence documentation/ process for new investments.

6. Allotment of shares, Right Issue, Preferential Allotment & issuance of share certificates, ROC and FEMA compliances, as applicable.

7. To conduct Board, Audit, CSR Committee Meetings/ pass circular resolutions of the Company.

8. To prepare Agenda papers and Minutes and circulate to Directors. To collate all information/ data and place the same before the Board.

9. To conduct the AGM/ EGM including preparation of Notice of AGM, Directors Report and other reports.

10. To complete all statutory formalities in connection with issuance of share certificates amongst holding Companies and FEMA compliance pertaining to FDI.

11. To complete all statutory formalities in connection with conversion of share warrants/ Preference shares/ Transfer of shares/ warrants & comply with applicable FEMA Notifications.

12. liaising with external regulators and advisors, such as auditors, banks, consultants.

13. Tracking & monitoring statutory deadlines of Secretarial Matters.

14. Primarily responsible for compliance of Secretarial matter on time.

Good Communication & Drafting skills. Should have updated knowledge about various notifications, provisions, and amendments under various necessary applicable acts. Willingness to work in a challenging environment, pro-active. Able to work with team members. Able to work under Direct Supervision.
