Job Title: Company Secretary

Department: Legal & Compliance

Location: Kanpur

Key Responsibilities:
1. Corporate Governance & Compliance:
Ensure compliance with statutory and regulatory requirements under the Companies Act, 2013 and other applicable laws, particularly for Section 8 companies.

Act as the primary liaison between the company, its Board of Directors, and regulatory

authorities.

Advise the Board on corporate governance best practices, ethical standards, and legal

obligations.

Ensure timely filings and reporting with the Ministry of Corporate Affairs (MCA) and other

authorities (Annual filings, Board resolutions, etc.).

2. Board Meetings & Minutes:
Organize and prepare agendas for Board meetings, committee meetings, and general meetings as per statutory requirements.

Prepare, maintain, and distribute accurate minutes of meetings.

Ensure proper documentation and safekeeping of minutes, resolutions, and statutory registers.

3. Statutory Registers & Records:
Maintain and regularly update statutory books and registers as required under the Companies Act.

Ensure proper record-keeping of documents, including Memorandum of Association, Articles of Association, licenses, approvals, etc.

Handle issuance and transfers of shares if applicable (not typical for Section 8 companies but may involve membership registers).

4. Legal & Regulatory Compliance:
Ensure the company complies with its legal and regulatory obligations, especially those specific to Section 8 companies, including reporting on CSR activities.

Ensure compliance with charitable trust requirements, fundraising, and donations as per Section 8 norms.

5. Internal Policies & Controls:
Develop, implement, and monitor internal policies and procedures to ensure compliance with the company's constitution and relevant regulations.

Advise on corporate governance framework, ethical practices, and codes of conduct specific to Section 8 companies.

6. Licenses & Approvals:
Ensure the company maintains the Section 8 status by adhering to the objectives of promoting charity, education, and related activities as prescribed.

Assist in obtaining necessary permissions, licenses, and exemptions under the Income Tax Act (Section 12A, 80G, etc.).

7. Stakeholder Management:
Manage communication with stakeholders, including members, donors, auditors, regulators, and other key parties.

Ensure timely responses to regulatory authorities on any compliance or legal inquiries.

8. Audit & Taxation:
Coordinate with auditors for statutory and internal audits, ensuring compliance with audit

requirements.

Assist in compliance with taxation laws applicable to Section 8 companies, including TDS, GST, and any exemptions available.

9. Ethical & Sustainable Practices:
Promote ethical practices and assist in implementing Corporate Social Responsibility (CSR)

initiatives aligned with the company's objectives.

Ensure all activities are in alignment with the company's not-for-profit mission.

10. Donation Management:
Ensure compliance with local and international laws related to donations and charitable

contributions.

Create reports and presentations on donation trends for various geographies, including India, the US, and other countries.

Provide regular updates to management on donation inflows, ensuring alignment with the

organization’s objectives. Ensure all activities are in alignment with the company's not-for-profit mission.

Maintain accurate and updated records of all donations and all documentation related to

donations complies with company policies and regulatory requirements.

Qualifications & Experience:
Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI).

3+ years of experience in a similar role, preferably with experience in handling Section 8

companies or non-profit organizations.

Strong knowledge of the Companies Act, 2013, and other applicable regulations, especially

those relevant to Section 8 companies.

Excellent drafting, communication, and organizational skills.

Knowledge of corporate governance practices, legal compliance, and board management.

Understanding of non-profit sector laws, including tax exemptions, CSR, and fundraising

regulations (desirable).

Skills & Competencies:
Attention to detail and thorough understanding of compliance requirements.

Strong interpersonal skills to effectively liaise with stakeholders and authorities.

Analytical ability to interpret legal requirements and translate them into company policies.

Strong ethics, integrity, and a commitment to the company’s non-profit objectives.

Proficiency in MS Office, compliance management software, and related tools.

Pay: ₹30,521.99 - ₹60,968.10 per month
