**Key Responsibilities**:
**1)** **IPO Process Management**:

- Oversee the Initial Public Offering (IPO) process, including due diligence, Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), and approval processes.
- Coordinate with regulatory bodies for listing of shares, replying to their queries and ensure compliance with SEBI regulations.

**2)** **Regulatory Compliance**:

- Ensure adherence to various SEBI regulations, FEMA guidelines, and other statutory requirements.
- Manage secretarial filings, including ROC due diligence and compliance.
- Manage conversion of entity into Public Limited company, Preferential issue of shares, etc

**3)** **Documentation and Agreements**:

- Draft and review business transfer agreements, Partnership agreement, debenture subscription agreements, JV agreements, Standard Operating Procedures (SoPs), and checklists.
- Prepare and draft company policies, charters, and other legal documents.

**4)** **Board and Shareholder Management**:

- Prepare Board and Shareholders Resolutions, and maintain secretarial registers and minutes of meetings.
- Manage the ROC process for conversion of companies, LLPs, and partnership firms.

**5) ** **Share Dematerialization and Depository Participant Management**:

- Oversee the dematerialization of shares and manage relationships with Depository Participants.
- Ensure compliance with SEBI regulations and maintain relevant registers.

**6)** **Corporate Governance**:

- Maintain high standards of corporate governance and ensure compliance with all statutory and regulatory requirements.
- Provide guidance on corporate governance best practices to the Board and senior management.

**Qualifications**:

- Qualified Company Secretary (CS) with 5+ years of experience.
- Extensive experience in handling IPO processes, due diligence, and regulatory approvals, drafting DRHP, replies for Stock Exchange.
- In-depth knowledge of all SEBI regulations, FEMA, and other applicable laws.
- Proven experience in drafting legal documents, agreements, and company policies.
- Strong understanding of ESOP, trading regulations, and secretarial compliance.
- Excellent organizational and communication skills.
- An understanding of Accounts and Finance will be an added advantage.
